These Terms describe the general framework of the Corner Cloud Co. program. Specific terms for any individual store partnership — including revenue structure, space allocation, and termination conditions — are defined in a separate written Program Agreement signed by both parties prior to installation. These Terms do not substitute for that agreement.
These Terms of Service ("Terms") govern your use of the Corner Cloud Co. website at cornercloud.co and your participation in the Corner Cloud Co. program ("Program"), operated by Sunflare Digital Infrastructure ("Sunflare Systems," "we," "us," or "our"). By submitting a partnership inquiry or entering into a Program Agreement, you agree to these Terms.
Corner Cloud Co. supplies vape and glassware product to partner retail locations ("Host Stores"), along with merchandising, restocking, and returns management for that product category. The specific structure of each partnership — including whether it is arranged as consignment, leased retail space, a licensing arrangement, or a combination — is determined individually and documented in the Program Agreement for that location.
The Host Store is responsible for all point-of-sale operations, including age verification for any age-restricted product, in accordance with applicable federal, state, and local law. Corner Cloud Co. does not staff, operate, or directly control the point-of-sale transaction at any Host Store location. The Host Store is responsible for maintaining any retail licensing required to sell the supplied product at its location.
The Host Store agrees to provide reasonable access to the agreed retail space for installation, restocking, and program-related visits, and to maintain the merchandised space in the condition reasonably required by the Program Agreement.
Corner Cloud Co. is responsible for supplying product, managing merchandising and restocking, and handling returns for the supplied category, as detailed in the applicable Program Agreement. Corner Cloud Co. provides product training to Host Store staff at launch and on an ongoing basis as the product lineup changes. Corner Cloud Co. maintains any supplier-side licensing or compliance obligations applicable to its role in providing product to Host Stores.
Vape and glassware products may be subject to federal, state, and local regulation, including but not limited to tobacco and vapor product licensing, age-verification requirements, and product-specific restrictions. Both parties agree to comply with all applicable laws relevant to their respective roles in the Program. Nothing in these Terms or in any Program Agreement shifts a Host Store's independent legal obligations regarding retail licensure or point-of-sale compliance onto Corner Cloud Co., or vice versa, except as explicitly stated in the Program Agreement.
Where the Host Store is a licensed cannabis dispensary, the Host Store is independently responsible for ensuring that the merchandised category complies with all applicable state and local cannabis retail regulations, including any rules governing product display, adjacency, or co-location with cannabis products. Corner Cloud Co. designs the merchandising plan based on information provided by the Host Store regarding applicable regulations in its jurisdiction, but the Host Store remains solely responsible for confirming and maintaining compliance with its dispensary license and all related state and local requirements.
Revenue structure, payment terms, and any applicable fees are defined individually in each Program Agreement and may include consignment-based revenue sharing, leased space fees, licensing fees, or a combination of these structures. No revenue or payment terms are implied by these general Terms.
The duration of a Program Agreement and the conditions under which either party may terminate it are defined in that agreement. In general, Corner Cloud Co. structures agreements to allow either party to terminate with reasonable written notice, as specified in the applicable Program Agreement.
Corner Cloud Co. and Sunflare Digital Infrastructure are not liable for indirect, incidental, or consequential damages arising from participation in the Program, except as otherwise specified in the applicable Program Agreement. Total liability in connection with any Program Agreement shall not exceed the total fees paid or received under that specific agreement during the twelve months preceding the claim.
The Corner Cloud Co. name, logo, and associated branding remain the property of Sunflare Digital Infrastructure. Host Stores are granted a limited license to display Corner Cloud Co. branding materials solely in connection with an active Program Agreement, and this license terminates upon termination of that agreement.
You agree not to use the cornercloud.co website for any unlawful purpose or in any way that could damage, disable, or impair the site. Unauthorized use of any content on this site is prohibited without prior written permission.
These Terms are governed by the laws of the State of Michigan. Any disputes arising under these Terms or a Program Agreement shall be subject to the exclusive jurisdiction of the courts located in Michigan, unless otherwise specified in the applicable Program Agreement.
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Existing Program Agreements remain governed by the terms in effect at the time they were signed unless explicitly amended.
