These Terms describe the general framework of the Smoke Haven program. Specific terms for any individual store — including buildout scope, revenue structure, and termination conditions — are defined in a separate written Program Agreement signed by both parties prior to launch. These Terms do not substitute for that agreement.
Smoke Haven is operated by Sunflare Digital Infrastructure (Sunflare Systems). These website terms describe the program; submitting an inquiry does not form a store partnership. The written Program Agreement defines the engagement.
Smoke Haven supports opening, converting, expanding, or exploring a manager-led smoke shop, standalone or within an existing location. Branding, signage, supply, merchandising, marketing, product training, and ongoing support are defined in the Program Agreement. Your local team runs the store; stepping back depends on capable staffing, management, and agreed owner oversight rather than an automatic absentee arrangement.
Smoke Haven branding and signage are provided directly by Sunflare Systems. Physical buildout, fixtures, and construction are NOT performed by Sunflare Systems or Smoke Haven. Where a Partner Store requires buildout services, Sunflare Systems will refer the Partner Store to independent, third-party contractors. Any agreement for buildout or construction services is a separate contract directly between the Partner Store and the contractor, and Sunflare Systems is not a party to that agreement, does not guarantee the contractor's work, and is not liable for the contractor's performance, delays, defects, or costs. Contractor costs are separate from and in addition to any fees owed to Sunflare Systems under the Program Agreement.
The Partner Store is responsible for all point-of-sale operations, including age verification for any age-restricted product, in accordance with applicable federal, state, and local law. The Partner Store is responsible for obtaining and maintaining any retail licensing required to sell the supplied product at its location, and for securing any permits or approvals required for buildout or construction performed by its chosen contractor.
Smoke Haven is responsible for providing brand identity and signage as described in the Program Agreement, for supplying product on an ongoing basis, and for managing returns for the supplied product. Smoke Haven provides product training to Partner Store staff at launch and on an ongoing basis as the product lineup changes. Smoke Haven maintains any supplier-side licensing or compliance obligations applicable to its role in providing product to Partner Stores.
Tobacco, vapor, and related products are subject to federal, state, and local regulation, including but not limited to retail licensing, age-verification requirements, and product-specific restrictions. Both parties agree to comply with all applicable laws relevant to their respective roles in the Program. Nothing in these Terms or in any Program Agreement shifts a Partner Store's independent legal obligations regarding retail licensure or point-of-sale compliance onto Sunflare Systems, or vice versa, except as explicitly stated in the Program Agreement.
Revenue structure, payment terms, and any applicable fees for branding, signage, and ongoing product supply are defined individually in each Program Agreement. Buildout and construction costs are billed separately by the Partner Store's chosen contractor and are not included in any fees paid to Sunflare Systems.
The duration of a Program Agreement and the conditions under which either party may terminate it are defined in that agreement. In general, Sunflare Systems structures agreements to allow either party to terminate with reasonable written notice, as specified in the applicable Program Agreement.
Sunflare Digital Infrastructure and Smoke Haven are not liable for indirect, incidental, or consequential damages arising from participation in the Program, except as otherwise specified in the applicable Program Agreement. Sunflare Systems is not liable for the work, delays, defects, or costs of any independent contractor performing buildout or construction services. Total liability in connection with any Program Agreement shall not exceed the total fees paid to Sunflare Systems under that specific agreement during the twelve months preceding the claim. These limitations apply only to the extent permitted by law and do not remove rights or liability that cannot lawfully be excluded.
The Smoke Haven name, logo, and associated branding remain the property of Sunflare Digital Infrastructure. Partner Stores are granted a limited license to display Smoke Haven branding materials solely in connection with an active Program Agreement, and this license terminates upon termination of that agreement.
