Terms of Service

Effective Date: January 1, 2026

These Terms of Service ("Terms") govern your use of the Sunflare Systems website at sunflare.digital and any services provided by Sunflare Digital Infrastructure ("we," "us," or "our"). By accessing our site or engaging our services, you agree to these Terms.

Services

Sunflare Systems provides digital branding, web design, media production, and physical retail buildout services — including fixture assembly, product merchandising, and store setup — to convenience and smoke retail operators. Specific deliverables, timelines, and payment terms for any engagement are defined in a separate written proposal or service agreement between you and Sunflare Systems. These Terms govern general use of our website and serve as a baseline for all client relationships.

On-Site Services

Where an engagement includes on-site work — including but not limited to fixture assembly, shelving installation, product merchandising, or store setup — the client is responsible for providing safe, lawful, and reasonable access to the premises during agreed working hours. The client warrants that they have the authority to permit Sunflare Systems personnel or contractors to perform such work at the specified location.

Sunflare Systems will perform on-site work in a professional and workmanlike manner consistent with industry standards. The client is responsible for securing any necessary permits, landlord approvals, or regulatory clearances required for fixture installation or store modifications prior to the scheduled work date. Sunflare Systems is not responsible for delays or additional costs arising from a client's failure to secure such approvals.

Any pre-existing damage, structural issues, or hazards at the client's premises should be disclosed prior to the start of on-site work. Sunflare Systems is not liable for damage to pre-existing conditions not disclosed in advance.

Intellectual Property

Upon full payment of agreed fees, clients on the Custom Build path receive full ownership and transfer of all intellectual property created for their engagement, including logos, website code, and associated brand assets. Until payment is received in full, all work product remains the property of Sunflare Digital Infrastructure.

Network License clients receive a limited, non-exclusive, non-transferable license to use Sunflare Systems' master brand system for the duration of their active retainer. This license does not constitute ownership and terminates upon cancellation of the retainer agreement.

Payment Terms

Payment schedules and amounts are defined in individual client proposals. All invoices are due within the timeframe specified in your agreement. Sunflare Systems reserves the right to pause or suspend work on any project where payment obligations are not met.

Client Responsibilities

Clients are responsible for providing accurate information, timely feedback at review milestones, and any materials or access credentials required to complete the engagement. Delays caused by client inaction may affect project timelines and do not constitute a breach by Sunflare Systems.

Limitation of Liability

Sunflare Systems is not liable for indirect, incidental, or consequential damages arising from the use of our services or website. Our total liability in connection with any engagement shall not exceed the total fees paid by the client for the relevant project.

For engagements involving on-site fixture assembly, merchandising, or store setup, Sunflare Systems maintains commercial liability coverage appropriate to the scope of work performed, details of which are available upon request. Sunflare Systems is not liable for damage resulting from defective materials supplied by the client or third parties, pre-existing structural conditions, or modifications made by parties other than Sunflare Systems after work is completed.

Website Use

You agree not to use this website for any unlawful purpose or in any way that could damage, disable, or impair the site. Unauthorized use of any content on this site is prohibited without prior written permission from Sunflare Digital Infrastructure.

Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable service agreement. Upon termination, any unpaid fees for work completed to that point become immediately due.

Governing Law

These Terms are governed by the laws of the State of Michigan. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Michigan.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our site or services following any changes constitutes your acceptance of the revised Terms.
